Terms of Service

1. Acceptance of Terms

By accessing or using the CardPassUp website (cardpassup.org), mobile applications, and any other services provided by CardPassUp (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Changes to Terms

CardPassUp reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or through other communications. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

3. Account Registration

To access certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify CardPassUp immediately of any unauthorized use of your account.

4. Transit Card Services

CardPassUp provides services related to transit cards in Abu Dhabi, including card issuance, balance recharge, and management. By using these services, you agree to:

• Provide accurate information for card registration and recharge
• Use transit cards in accordance with the regulations of Abu Dhabi's transportation authorities
• Not tamper with, duplicate, or attempt to modify transit cards
• Report lost or stolen cards promptly
• Accept that card balances may take time to update across the transit system after recharge

5. Payments and Fees

CardPassUp charges fees for certain services, including card issuance and processing fees for recharges. All fees are clearly displayed before you complete a transaction.

By providing a payment method, you authorize us to charge the applicable fees to that payment method. If your payment cannot be completed, we may suspend or terminate your access to the Services.

6. Refunds

Our refund policy is detailed in our separate Refund Policy document. Generally, refunds are available for:

• Failed transactions where your account was charged but the service was not delivered
• Double charges for the same transaction
• Service fees in cases where we were unable to fulfill our service obligations

Transit card balances that have been successfully loaded onto cards are generally non-refundable, as per Abu Dhabi transportation authority regulations.

7. Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of CardPassUp or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally necessary for using the Services.

8. User Conduct

You agree not to use the Services:

• In any way that violates any applicable law or regulation
• To impersonate or attempt to impersonate CardPassUp, an employee, another user, or any other person
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services
• To use any robot, spider, or other automatic device to access the Services for any purpose

9. Limitation of Liability

To the fullest extent permitted by law, CardPassUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Any transaction or relationship between you and any third party service provider

Our total liability for all claims related to the Services shall not exceed the greater of AED 500 or the amount you paid to CardPassUp in the last six months.

10. Indemnification

You agree to defend, indemnify, and hold harmless CardPassUp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

CardPassUp may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the courts of Abu Dhabi, UAE.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
